Terms of Service

These Terms are a working draft. LaFayette Labs LLC is reviewing them with counsel before formal effect. Reach out to [email protected] with questions or before relying on these terms in any agreement.

1. Acceptance of Terms

By accessing or using lafayettelabs.com (the "Site"), operated by LaFayette Labs LLC ("LaFayette Labs", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

2. Description of Service

The Site provides marketing information about LaFayette Labs and a contact channel for prospective clients. Engagements for actual consulting, architecture, or engineering services are governed by separate written agreements between LaFayette Labs and the engaging party. Nothing on the Site constitutes a binding offer of services.

3. Intellectual Property

All content on the Site (including the LaFayette Labs name, logo, page text, layouts, and design system) is the property of LaFayette Labs LLC or used with permission. You may not copy, redistribute, or create derivative works from this content without our prior written consent, except for fair-use quotation with attribution.

Open-source projects published by LaFayette Labs are governed by the licenses included in their respective repositories (typically the MIT License). Those licenses control any use of the code, not these Site Terms.

4. User Conduct

When using the Inquiry form or otherwise communicating with us through the Site, you agree to:

  • Provide accurate information.
  • Not submit unlawful, defamatory, harassing, or malicious content.
  • Not attempt to disrupt or compromise the security or operation of the Site.

5. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, LaFayette Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Information on the Site is for general informational purposes and does not constitute professional advice for your specific situation.

6. Limitation of Liability

To the maximum extent permitted by law, LaFayette Labs and its members will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, even if advised of the possibility of such damages. Liability for direct damages, if any, is limited to the greater of (a) $100 USD or (b) the amount you have paid LaFayette Labs in the twelve months preceding the claim.

7. Indemnification

You agree to indemnify and hold LaFayette Labs harmless from any claim, damage, or expense (including reasonable legal fees) arising from your misuse of the Site or breach of these Terms.

8. Changes to These Terms

We may revise these Terms at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Site after a change indicates your acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-law principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Lake County or Cook County, Illinois.
